Version 1.0 · October 2026

Commercial Terms

These terms govern every quotation and engagement with Ekaiva Architects for commercial projects — clinics, hospitals, offices, retail and site works. They are read with the quotation itself, which sets out the scope, the payment schedule, the exclusions and the defects liability periods. Residential projects follow our Terms & Conditions.

1.Scope

The quotation covers only the items listed, at the specifications stated. Existing elements marked as retained are not altered. Anything not listed is excluded — see the Exclusions & Assumptions in the quotation. Items marked By client are supplied or carried out by the client.

2.Validity & Price Basis

A quotation is valid for 30 days from its date of issue. Prices of steel, aluminium, glass, natural stone and copper-based items are held for 30 days; orders confirmed later are re-confirmed at prevailing prices before materials are procured.

3.Measurement & Billing

Quantities are estimated from drawings and site measurements. The final bill is on joint measurement at site at the quoted rates. Items marked Provisional are adjusted to actuals. Natural stone and tile quantities include the cutting wastage stated against each item, and the same allowance applies to the jointly measured quantity. A variation of up to ±10% on an item's quantity is billed at the quoted rate.

4.Variations

Any change in design or specification, or a change of more than ±10% in an item's quantity, is a variation. Variations are priced in writing — at the rates of similar items where they exist, otherwise at new rates — and approved by the client before they are executed.

5.Design & Drawings

Designs, drawings and renders remain the intellectual property of Ekaiva Architects and are licensed for use at the quoted site only. One round of revisions after final renders is included; further rounds are ₹5,000 each. Later phases are quoted separately, at any design rate stated in the quotation's Rates for Future Phases.

6.Payment

Payments follow the payment schedule in the quotation, and each invoice is payable within 7 days. Material advances are released before long-lead orders (stone, glass, panels, fabrication) are placed. Work pauses while an invoice is overdue, and the timeline extends by the same period. No retention money is held.

7.Taxes & TDS

GST is charged at the applicable rate as shown in the quotation. Tax invoices are raised by Casa Craft (GSTIN 36APWPV7679D1ZT) on the client's legal name and GSTIN. Where the client deducts TDS, the TDS certificate (Form 16A) is to be furnished within the statutory period; until then the deducted amount is treated as outstanding.

8.Timeline

The timeline is committed in writing after design sign-off and receipt of the advance, and depends on site readiness, approvals, timely decisions and payments. Delays from these causes extend the timeline accordingly.

9.Working on Live Premises

On premises that remain in operation — hospitals, clinics, offices, retail — work is carried out in hours agreed with the facility; night or holiday work, if required, is charged extra. We barricade work zones, control dust and noise, and clean daily. The client keeps patient, customer, vehicle and staff movement clear of work zones. Hot work (welding or cutting) near oxygen, gas or fuel installations proceeds only with the client's written permit and isolation; we prefer shop fabrication with bolted assembly at site.

10.Client Responsibilities

The client provides statutory approvals and NOCs (municipal, fire, and electrical or DISCOM shutdowns), free power and water at site, secure storage space, access passes for workers, a single point of contact for decisions, and the removal or relocation of the client's equipment from work zones.

11.Existing Structure & Services

We rely on the existing structure being sound. Structural assessment or strengthening, and damage arising from pre-existing defects such as seepage, settlement or cracks, are excluded unless listed. Concealed services discovered during work are reported to the client before we proceed.

12.Natural Materials

Natural stone varies in shade, veining and texture between slabs and batches; this is a property of the material, not a defect. Each stone is procured from a single lot where quantities allow.

13.Defects Liability & Warranties

Workmanship defects reported within the periods in the quotation's Defects Liability table are rectified free of charge, repair-first. Manufacturers' warranties are passed through to the client. Not covered: misuse, impact or vehicle damage, alteration by others, normal wear, consumables, and damage from causes outside our scope.

14.Handover

On completion the client inspects the works and signs the handover. Snags are listed and closed within an agreed period. Use of the works by the client constitutes handover.

15.Suspension & Termination

Either party may terminate on 15 days' written notice for a material breach that is not remedied within that notice period. On termination the client pays for work done, materials procured or committed, and the design fee earned to date.

16.Liability

Our total liability under the engagement is limited to the value of the quotation. We are not liable for consequential or indirect loss. No liquidated damages apply.

17.Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, natural disasters, severe supply-chain disruption, strikes, public health emergencies and government orders. The timeline extends for the duration of such an event.

18.Media & Privacy

We may photograph the completed works for our portfolio. Patients, customers, staff and identifying details are never published. The client may opt out in writing before handover.

19.Acceptance, Law & Disputes

A quotation is accepted by a signed copy, a purchase order, an email confirmation to hello@ekaivaarchitects.com, or payment of the advance — whichever is earliest — and acceptance is of the quotation and these Terms. Only written commitments are binding. These Terms are governed by the laws of India. Disputes are first resolved by good-faith negotiation, then by mediation, and failing that by the courts at Hyderabad, Telangana, which have exclusive jurisdiction.

Commercial Terms v1.0, October 2026. Ekaiva Architects reserves the right to amend these terms; the version applicable to a project is the one current at the date of that quotation.
